L'offerta e la vendita di prodotti effettuata sul Sito web www.suomy.com sono regolate dalle presenti Condizioni Generali di Vendita.

I prodotti acquistati sul Sito www.suomy.com sono venduti direttamente da Suomy Motosport Srl con sede legale in Italia, in Via Sant’Andrea 20/A – 22040 – Lurago D’Erba (CO), iscritta al Registro delle Imprese di Como n. IT08207200968, C.F. e P.IVA IT08207200968 e-mail shoponline@suomy.com Tel. +39 031696300 (d'ora in avanti “Venditore" o “Suomy Motosport").

Il Venditore si riserva di modificare le presenti Condizioni generali di vendita in ogni momento; le eventuali nuove regole saranno efficaci dal momento della loro pubblicazione sul Sito e si applicheranno alle vendite che verranno effettuate a partire dalla loro pubblicazione.

Prima di procedere alla trasmissione dell’ordine e, quindi, alla conclusione del contratto di acquisto, il Cliente è tenuto a leggere attentamente le Condizioni Generali di vendita in vigore unitamente a tutte le informazioni che il Venditore fornisce tramite il Sito, sia prima che durante la procedura di acquisto. Le Condizioni generali di vendita sono messe a disposizione del Cliente tramite la sezione del Sito “Termini e Condizioni”, raggiungibile tramite l’omonimo link presente nel footer del Sito. Al Cliente è consentita la memorizzazione e la riproduzione delle stesse.

1. Definizioni

1.1 Cliente: il Consumatore, come di seguito definito.

1.2 Consumatore: persona fisica, maggiorenne o comunque capace di agire ai sensi di legge, che effettui un ordine sul Sito per scopi estranei all’attività imprenditoriale, commerciale, artigianale o professionale eventualmente svolta soggetta alla normativa di cui al D.Lgs. n. 206/2005 e successive modifiche ed integrazioni.

1.3 Venditore: Suomy Motosport Srl con sede legale in Italia, in Via Sant’Andrea 20/A – 22040 – Lurago D’Erba (CO), iscritta al Registro delle Imprese di Como n. IT08207200968, C.F. e P.IVA IT08207200968, azienda commerciale con cui il Cliente conclude il contratto di acquisto e che si occupa di vendere i prodotti a proprio onere e responsabilità al Cliente.

1.4 Prezzo: il corrispettivo contrattuale indicato nella Conferma d’Ordine, comprensivo di IVA.

1.5 Prodotto/i: i prodotti presenti nel catalogo elettronico pubblicato su Sito web sezione eCommerce, così come descritti nelle relative schede prodotto e indicati nella Conferma d’Ordine. I caschi si intendono forniti con la relativa visiera trasparente omologata; eventuali immagini di caschi con visiere colorate sono da intendersi solo a titolo illustrativo.

2. La politica commerciale - Ambito di applicazione

2.1 La mission è di promuovere e vendere i prodotti del Venditore, con particolare riferimento al Commercio B2C (Business to Consumer) verso i consumatori privati. Il Sito web sezione eCommerce è riservato alla vendita al dettaglio. L’accesso al Sito e l’acquisto dei Prodotti tramite il Sito medesimo avviene con o senza registrazione ed è consentito a tutti i Clienti, a prescindere dalla loro nazionalità, dal loro luogo di residenza o dal loro luogo di stabilimento, a condizione, se persone fisiche, di avere la capacità giuridica di stipulare accordi vincolanti nel rispetto del diritto applicabile e con consegna nelle nazioni previste da Sito.

Il Venditore invita quindi gli utenti che non siano riconducibili alla categoria di Consumatori ad astenersi sia dall’effettuare acquisti, sia dall’inoltrare ordini tramite terzi. In considerazione della propria politica commerciale, il Venditore si riserva il diritto di non dare seguito a ordini provenienti da soggetti diversi dal Cliente o comunque a ordini che non siano conformi alla propria politica commerciale. Nel caso in cui un utente non Consumatore abbia necessità di effettuare un acquisto, si prega di contattare il Servizio Clienti del Venditore a mezzo email shoponline@suomy.com o telefono +39 031696300. In ogni caso, i soggetti che intendano acquistare prodotti a scopo di successiva rivendita non potranno effettuare acquisti sul Sito.

Le presenti Condizioni di vendita regolano esclusivamente l’offerta, l’inoltro e l’accettazione di ordini d’acquisto di prodotti tra i Clienti e il Venditore tramite il Sito (“Termini e Condizioni”). La consegna dei Prodotti acquistati tramite il Sito può essere effettuata solo ed esclusivamente in Paesi appartenenti alla Unione Europea.

2.2 In caso di errore informatico, manuale, tecnico, o di qualsiasi altra natura che possa comportare un cambiamento sostanziale, non previsto dal Venditore, del prezzo di vendita al pubblico, che lo renda esorbitante o chiaramente irrisorio, l’ordine d’acquisto sarà considerato non valido e annullato ed il Venditore provvederà senza indebito ritardo al rimborso del prezzo che il Cliente dovesse aver già versato, previa comunicazione al Cliente.

2.3 Il Venditore si riserva il diritto di verificare e valutare la correttezza e la buona fede del Cliente, in particolar modo in caso di inserimento di dati non corretti o veritieri o di utilizzo di promozioni o coupon sconto. Qualora il comportamento del Cliente risultasse non lecito e non corretto, il Venditore si riserva il diritto di intraprendere tutte le azioni necessarie a far cessare le irregolarità.

3. Come concludere il contratto con Suomy Motosport Srl

3.1 Per concludere il Contratto di Acquisto (“Contratto”), il Cliente potrà, opzionalmente:
1.inserire di volta in volta tutti i dati necessari per il completamento del modulo d’ordine;
2.registrarsi sul Sito mediante l'inserimento dei dati richiesti nell'apposito modulo reperibile sul Sito e scegliere il codice personale (password) ed il codice di identificazione (User-ID, coincidente con l’indirizzo e-mail) e completare il modulo d’ordine, avendo cura di inserire correttamente i propri dati personali come richiesti nel modulo elettronico di registrazione.

Il Cliente si assume la responsabilità della veridicità e della correttezza dei dati personali inseriti e rilasciati al Venditore in fase di registrazione e di invio del modulo d’ordine. Resta inteso che qualsiasi danno/ritardo/disagio riferibile e/o imputabile alla non correttezza e/o non veridicità dei dati personali inseriti al momento della registrazione e/o in fase di completamento ordine non potrà in nessun caso essere addebitato al Venditore. In ogni caso, prima di procedere alla trasmissione del modulo d'ordine, il Cliente potrà individuare e correggere eventuali errori di inserimento dei dati ritornando ai relativi moduli di inserimento dati.

Il Cliente dovrà compilare integralmente il modulo d’ordine presente sul Sito, accettare le presenti Condizioni generali di Vendita ed inoltrare il suddetto modulo al Venditore, seguendo le istruzioni che compariranno di volta in volta; il modulo d’ordine inviato dal Cliente ha valore di proposta contrattuale ed il Venditore si riserva il diritto di accettare (o meno) tale proposta.

Prima di procedere alla trasmissione del modulo d'ordine, il Cliente s’impegna a verificare, con attenzione, la correttezza dei dati inseriti. Eventuali maggiori oneri derivanti dall’erroneità dei dati inseriti potranno essere addebitati al Cliente.

Al ricevimento dell’Ordine e ricevuta la conferma del buon esito della validità del pagamento il Venditore invierà un messaggio di presa in carico dell'ordine stesso. Quest’ultimo non costituisce accettazione dell’ordine, ma solamente la conferma da parte del Venditore di aver ricevuto l'Ordine.

Al momento dell’effettiva spedizione dei Prodotti, che avviene tra i 2 e i 4 giorni lavorativi successivi alla ricezione dell’Ordine, il Venditore invierà al Cliente una mail di avvenuta elaborazione ordine.

Sia la Conferma d’Ordine che la mail di avvenuta spedizione riportano tutti i dati essenziali relativi all’Ordine, inclusi, a titolo esemplificativo, l’elenco dei prodotti effettivamente acquistati corredati delle loro caratteristiche principali, ivi inclusa quella relativa al prezzo comprensivo di IVA. Esso conterrà, inoltre, tutte le informazioni relative ai dati di spedizione ed ai costi.

3.2 Con la trasmissione del modulo d’ordine, il Cliente accetta incondizionatamente e si impegna a osservare, nei rapporti con il Venditore, i termini e condizioni riportate su Sito. Se il Cliente non condivide alcuni dei termini qui riportati, è invitato a non inoltrare il modulo d’ordine per l’acquisto dei prodotti sul Sito.

3.3 Con la trasmissione del modulo d’ordine, che avviene dopo aver cliccato sul pulsante “Paga ora” il Cliente conferma di conoscere e accettare i termini e le condizioni contenute nel Sito e l’Informativa sul trattamento dei dati personali.

3.4 Il modulo d’ordine sarà archiviato presso la banca dati del Venditore per il periodo di tempo necessario all’evasione degli ordini e comunque nei termini di legge. Il Cliente potrà accedere al modulo d’ordine, consultando la sezione “Ordini" all’interno del Sito.

3.5 La lingua a disposizione del Cliente per concludere il contratto con il Venditore è l’italiano.

3.6 I prezzi dei prodotti potrebbero essere soggetti ad aggiornamenti. Il Cliente ha l’obbligo di accertarsi del prezzo finale di vendita prima di inoltrare il relativo modulo d’ordine.

3.7 Eventuali richieste di consegna in Paesi diversi dalla Unione Europea non potranno essere accettate dal Venditore.

3.8 Il Venditore potrà non dar corso a ordini di acquisto inoltrati dal Cliente qualora i dati da quest’ultimo forniti risultino incompleti o non corretti. In questo caso, il Venditore provvederà, via posta elettronica o tramite il Servizio Clienti, a informare il Cliente della mancata conclusione del contratto, indicando i motivi per i quali non è stato possibile dar seguito all’ordine. Il Venditore provvederà a rimborsare l’eventuale prezzo eventualmente già versato secondo le modalità di seguito descritte (vedi sezione "Tempi e modalità di rimborso").

3.9 In generale, tutti gli articoli presenti sul Sito sono immediatamente disponibili. Tuttavia, in caso di acquisti in contemporanea da parte di più utenti, un prodotto potrebbe risultare disponibile, pur essendo invece esaurito. In tal caso, fatti salvi i diritti attribuiti al Cliente dalla normativa applicabile, sarà cura del Venditore, tramite il Servizio Clienti, comunicare al Cliente, all'indirizzo e-mail indicato dal Cliente, la suddetta indisponibilità.

Fatto salvo quanto di seguito pattuito e quindi la possibilità di esercitare il diritto di ripensamento per i prodotti ordinati (vedi sezione "Diritto di recesso"), nel caso di ordini aventi ad oggetto più Prodotti, l’invio del modulo d’ordine da parte del Cliente vale come accettazione anche di un’eventuale consegna parziale, limitata ai prodotti disponibili nell’ambito di quelli ordinati. Qualora il Cliente avesse già provveduto al pagamento dell’ordine completo, il Venditore provvederà a rimborsare la quota corrispondente ai prodotti non disponibili secondo le modalità di seguito descritte (vedi sezione "Tempi e modalità di rimborso"), fatti salvi eventuali ulteriori diritti dei Clienti. In caso di consegna parziale, fatto sempre salvo il diritto di recesso, le spese di consegna potrebbero non essere rimborsate.

4. Prezzi di vendita, imposte e tasse

4.1 Salvo diversa indicazione scritta, tutti i prezzi indicati sono da ritenersi IVA inclusa ed espressi in Euro. I prezzi possono variare senza obbligo di preavviso e l'unico prezzo corretto è da intendersi quello indicato al momento della conferma dell'ordine da parte del Venditore.

4.2 I prezzi indicati non comprendono le spese di spedizione che sono calcolate prima della conferma dell’ordine trasmessa dal Venditore al Cliente e che lo stesso Cliente si impegna a versare al Venditore in aggiunta al prezzo indicato sul Sito.

5. Modalità di Pagamento

5.1 Il Venditore accetterà solo pagamenti con valuta Euro.

5.2 Per il pagamento del prezzo dei prodotti e delle relative spese di spedizione e consegna il Cliente potrà utilizzare esclusivamente la modalità con carta di credito tramite circuito Stripe.

5.3 Il Venditore non sarà mai in possesso di alcuna informazione sensibile (per esempio, il numero completo della carta di credito/debito, o il codice di sicurezza). Al momento dell’invio del modulo d’ordine, il Venditore effettua una richiesta di utilizzazione al provider di pagamento selezionato di un importo pari a quello indicato nel modulo d’ordine, con l’effetto, qualora l’autorizzazione richiesta sia confermata, di prenotare e bloccare la somma corrispondente a tale importo, sottraendola alla disponibilità dell’utente.

6. Fatturazione

6.1 Il Venditore inserirà nel collo la fattura dei Prodotti spediti e la invierà al Cliente mediante sistema di interscambio. Per l'emissione della fattura fanno fede le informazioni fornite dal Cliente all'atto dell'ordine. Dopo l'emissione della fattura, non sarà possibile apportare alcuna modifica ai dati indicati nella stessa.

7. Spedizione e consegna Prodotti

7.1 Il Venditore spedisce i propri prodotti tramite corrieri espressi. La spedizione avviene in 2-4 giorni lavorativi (ovvero dal lunedì al venerdì) a partire dalla conclusione del Contratto. In ogni caso il Venditore si riserva la possibilità di consegnare i prodotti ordinati entro il termine massimo di 30 giorni lavorativi dalla email di Conferma Ordine nei mesi di Agosto e Festività Natalizie.

7.2 Il Venditore si impegna a fare tutto il necessario per rispettare i tempi di consegna sopra indicati, ma non potrà, nei limiti previsti dalla normativa applicabile e impregiudicati i diritti irrinunciabili dei consumatori, essere ritenuto responsabile di danni o disagi causati da eventuali ritardi.

7.3 Il Venditore spedisce esclusivamente in Unione Europea. L’acquisto tramite il Sito è quindi consentito ai Clienti, a prescindere dalla loro nazionalità e/o dal loro luogo di residenza e/o di stabilimento, fermo restando, tuttavia, che la consegna dei Prodotti può avvenire solo ed esclusivamente nei paesi sopra indicati.

7.4 Il costo per ogni spedizione, associata a un ordine, varierà in base ai seguenti parametri: al luogo di destinazione e al peso totale dei Prodotti acquistati con il singolo ordine, e sarà in ogni caso esplicitato sia nel corso della procedura di acquisto e di trasmissione dell’ordine sia nella Conferma Ordine.

7.5 Al momento della consegna del Prodotto acquistato da parte del corriere, il Cliente è tenuto a controllare che il numero dei colli in consegna corrisponda a quanto indicato nella lettera di vettura e che l’imballaggio risulti integro, non danneggiato, né bagnato o comunque alterato, anche nei materiali di chiusura (nastro adesivo brandizzato). In caso di anomalie o danneggiamenti, la contestazione deve essere fatta immediatamente al corriere, rifiutando la consegna o inserendo nel documento di ricezione merce presentato dal corriere la dicitura "ACCETTATO CON RISERVA" e segnalando tempestivamente al Venditore l'accaduto. Resta ferma, in ogni caso, l’applicazione delle norme in materia, nonché quelle di diritto di recesso e di garanzia legale di conformità.

7.6 La Consegna tramite spedizione espressa si intende al piano strada.

8. Garanzia post vendita

8.1 Al momento della consegna, i Prodotti dovranno essere controllati dal Cliente al fine di accertare che essi corrispondano agli articoli ordinati e che non presentino difetti di conformità. Le caratteristiche essenziali dei prodotti sono indicate sul Sito in corrispondenza di ciascuna pagina di dettaglio del Prodotto. Le immagini e i colori dei prodotti offerti in vendita potrebbero tuttavia non essere corrispondenti a quelli reali per effetto del browser Internet e del monitor utilizzato. Resta inteso pertanto che, ferme le indicazioni relative all’etichetta e fatto salvo il diritto di recesso, il Cliente non potrà avanzare alcuna eccezione nei confronti del Venditore, nel caso in cui il Prodotto consegnato non dovesse coincidere con l’immagine del Prodotto riportata sul Sito quanto a colori/forma/dimensioni.

8.2 Il Venditore pone la massima attenzione all’aderenza di quanto descritto e presentato sul Sito rispetto a quanto riportato sull’etichetta presente sulle confezioni dei prodotti. In ogni caso si sottolinea che, ove si riscontrino differenze, faranno sempre fede l’etichetta e le indicazioni d’uso del Prodotto fornite dal fabbricante.

8.3 Tutti i prodotti venduti sui Siti sono coperti dalla garanzia legale di conformità prevista dagli artt. 128-135-vicies ter del Codice del Consumo (“Garanzia Legale”). Fatte salve diverse disposizioni normative a tutela dei diritti inalienabili dei consumatori, Il Venditore è responsabile nei confronti del Cliente per qualsiasi difetto di conformità esistente al momento della consegna del prodotto e per vizi occulti che si manifestino entro due anni dalla data di acquisto (comprovata dalla fattura di vendita accompagnatoria). È esclusa l’applicazione di qualsiasi garanzia in caso di utilizzo o lavaggio del Prodotto non conforme a quello proprio del Prodotto e alle istruzioni/avvertenze in merito fornite dal Venditore, ovvero riportate nella documentazione illustrativa di riferimento, nei cartellini nelle etichette e nei manuali. L'eventuale non conformità dei Prodotti dovrà essere segnalata al Venditore entro e non oltre 2 (due) mesi dalla scoperta (termine previsto dal Codice del Consumo), comunque entro 2 anni dalla data di acquisto (comprovata dalla fattura di vendita accompagnatoria), tramite richiesta da inviare all’indirizzo shoponline@suomy.com specificando la motivazione “garanzia per prodotto non conforme”, il numero fattura accompagnatoria e la motivazione del reclamo. Il Venditore si riserva la possibilità di richiedere immagini/foto/video al fine di effettuare una valutazione preventiva. Il Venditore si riserva il diritto di chiedere all’utente di allegare alla richiesta di usufruire della Garanzia legale di conformità, la Conferma Ordine e la fattura accompagnatoria che provi la data di effettuazione dell’acquisto e la data di consegna. Fatti salvi i casi in cui si applicano i rimedi della riduzione del prezzo e la risoluzione del contratto, il Venditore, verificato il rispetto di quanto sopra indicato, indicherà al Cliente le procedure previste per la riparazione o la sostituzione del prodotto in garanzia. Il Venditore, dove necessario, provvederà, a proprie spese, a far ritirare tramite un corriere espresso il Prodotto difettoso, direttamente a un indirizzo indicato dal Cliente. In tal caso, fatta salva eventuale diversa indicazione contraria del Venditore, il Cliente deve mettere a disposizione per il ritiro il Prodotto completo dell'imballo e di tutta l'accessoristica e la documentazione ricevuta dal Cliente al momento dell'acquisto. La rispedizione del prodotto senza l'imballo originale, l'accessoristica e la documentazione di cui sopra impedisce al Venditore di intervenire sul Prodotto stesso e rende quindi impossibile sia la riparazione che la sostituzione del Prodotto. Successivamente alla ricezione del prodotto il Venditore ne valuterà l’effettiva alterazione e, in caso di riscontro positivo e fatte salve eventuali richieste del Cliente sul rimedio da esperire come da normativa applicabile, provvederà alla riparazione o alla sostituzione della merce a proprie spese.

8.4 Se a seguito della verifica da parte del Venditore il vizio lamentato dal Cliente non dovesse risultare un difetto di conformità, il Venditore si riserva il diritto di addebitare al Cliente i costi di verifica e di ripristino nonché i relativi costi di trasporto sostenuti. Il Cliente potrà scegliere di riavere – a proprie spese – i Prodotti acquistati. Nel caso il Cliente rifiutasse la spedizione il Venditore si riserva il diritto di trattenere i Prodotti e l'importo corrispondente per l'acquisto dei Prodotti.

8.5 Fatto salvo quanto diversamente previsto dalla normativa applicabile e impregiudicati i diritti irrinunciabili dei consumatori, il Venditore non è responsabile o obbligato a risarcire danni indiretti, immateriali o collaterali, inclusi (senza limitazioni): la perdita di profitto, la perdita di guadagno, limitazioni alla produzione, costi amministrativi o personali, perdita di clientela o azioni legali di terzi.

8.6 Sono esclusi dal campo di applicazione della Garanzia di conformità dei prodotti eventuali guasti o malfunzionamenti determinati da fatti accidentali o da responsabilità dell’utente ovvero da un uso del prodotto non conforme alla sua destinazione d'uso e/o a quanto previsto nelle istruzioni d’uso del prodotto e nei casi in cui conservi i prodotti in luoghi non idonei o esposti a intemperie, sporco o agenti contaminanti.

8.7 Nel caso in cui il Prodotto non risultasse affetto da un vizio di conformità, sarà possibile per il Cliente richiedere un preventivo per la riparazione/ripristino del Prodotto a pagamento.

8.8 La garanzia è personale e si applicherà quindi solo all'originario acquirente, essendo riservata esclusivamente ai Clienti del Venditore che rivestano la qualifica di Consumatori.

9. Diritto di recesso e rimborso

9.1. Ai sensi dell'articolo 52 e ss. del Codice del Consumo, il Cliente Consumatore avrà la facoltà di recedere dal contratto di acquisto per qualsiasi motivo, senza necessità di fornire spiegazioni e senza alcuna penalità, nei termini e con le modalità indicate nei successivi articoli.

9.2 Per esercitare il diritto di recesso, entro 14 giorni dalla data di ricezione dei Prodotti (all’indirizzo richiesto), il Cliente dovrà inviare una comunicazione all’indirizzo mail shoponline@suomy.com, identificando l'ordine per il quale si ha necessità di effettuare un reso totale o parziale, con specifica, in caso di reso parziale, dell’articolo per cui viene esercitato il recesso ed attendere mail di conferma con indicazione indirizzo per il reso. La restituzione dei Prodotti oggetto di recesso dovrà essere effettuata, a cura e spese del Cliente, a mezzo Vettore di propria scelta, direttamente senza indebito ritardo e in ogni caso entro 14 (quattordici) giorni dalla data in cui ha comunicato al Venditore la decisione di voler recedere dal contratto di vendita. Il Venditore non accetterà in nessun caso resi in contrassegno.

9.3 Una volta pervenuta la suddetta comunicazione di recesso, il Venditore, verificato il rispetto dei termini per avvalersi del diritto di recesso, ovvero entro 14 giorni dalla data di ricevimento dei Prodotti da parte del Cliente, e una volta verificata l’integrità del Prodotto restituito, provvederà a rimborsare il pagamento ricevuto dal Cliente per i Prodotti oggetto di recesso entro 14 (quattordici) giorni dal ricevimento. Il rimborso sarà effettuato utilizzando lo stesso mezzo di pagamento usato dal Cliente per la transazione iniziale. Indipendentemente dalla corrispondenza tra il destinatario dei Prodotti indicato nel modulo d’ordine e chi ha eseguito il pagamento delle somme dovute per il loro acquisto, il rimborso delle somme verrà sempre eseguito dal Venditore a favore di chi ha effettuato il pagamento (identificato come l’intestatario della carta di credito utilizzata per l’acquisto). Nel caso in cui il recesso abbia ad oggetto uno o più prodotti acquistati con un Codice promozionale l'importo rimborsato sarà uguale a quello effettivamente corrisposto al Venditore, e non al valore del prodotto riportato nella descrizione dello stesso al momento dell'acquisto.

9.4 Tutti i Prodotti per i quali il Cliente abbia esercitato il diritto di recesso dovranno risultare integri e nella loro confezione originale, completa in tutte le sue parti ivi compresi il materiale d’imballaggio nonché l’eventuale documentazione accessoria.

9.5 Il Diritto di Recesso si intende esercitato correttamente qualora siano rispettate le condizioni richieste dal Codice del Consumo e che la comunicazione di recesso sia completa nelle sue parti essenziali.

9.6 Il Cliente non avrà facoltà di esercitare il proprio diritto di recesso nei casi in cui venga accertata una delle seguenti circostanze: la mancanza della confezione e/o dell’imballo originali; l'assenza degli elementi integranti del Prodotto (accessori, cartellini, etichette, note informative etc.); il sostanziale danneggiamento del Prodotto per cause diverse dal suo trasporto. Inoltre, è escluso il recesso per i beni customizzati secondo la richiesta del Cliente e negli altri casi elencati all’art. 59 del Codice del Consumo.

9.7 I tempi di riaccredito dipendono poi dal sistema di pagamento prescelto, con la conseguenza che una volta effettuata la richiesta, il Venditore non potrà essere ritenuto responsabile per eventuali ritardi od omissioni nell'accredito, provocati dal ritardo delle procedure del sistema bancario o del canale di pagamento utilizzato.

10. Privacy

10.1 Le informazioni sulla privacy sono contenute nell’Informativa sul trattamento dei dati personali che è parte integrante delle presenti Condizioni di Vendita. Prima di procedere alla trasmissione dell’ordine e, quindi, alla conclusione del contratto di acquisto, il Cliente è tenuto a leggere attentamente l’informativa sul trattamento dei dati personali. Tale informativa è messa a disposizione del Cliente tramite la sezione del Sito “Informativa Privacy”, raggiungibile tramite l’omonimo link presente nel footer del Sito, nonché tramite l’apposito link durante il procedimento di acquisto. Al Cliente è consentita la memorizzazione e la riproduzione delle stesse.

11. Legge applicabile e soluzione delle controversie

11.1 Fatta salva la normativa europea in materia di legge applicabile alle obbligazioni contrattuali in caso di contratti conclusi da una persona fisica per un uso che possa essere considerato estraneo alla sua attività commerciale o professionale con un’altra persona che agisce nell’esercizio della sua attività commerciale o professionale, le presenti Condizioni di Vendita sono regolate dalla legge italiana ed in particolare dal Codice del Consumo, con specifico riferimento alla normativa in materia di contratti a distanza e dal Decreto Legislativo 9 aprile 2003 n. 70 ed al Codice del Consumo D. Lgs. 6 settembre 2005 n. 206.

11.2 Qualsiasi controversia che faccia riferimento all’interpretazione, esecuzione, inadempimento o risoluzione del Contratto, o che in qualsiasi modo sia correlata alle Condizioni Generali di Vendita, sarà sottoposta alla giurisdizione sarà sottoposta alla giurisdizione esclusiva del foro del luogo in cui il Cliente risiede o ha eletto domicilio.

11.3 Il Venditore informa il Cliente che è stata istituita una piattaforma europea per la risoluzione on-line delle controversie dei consumatori (c.d. piattaforma ODR). La piattaforma ODR è consultabile al seguente indirizzo http://ec.europa.eu/consumers/odr/; attraverso la piattaforma ODR l'utente consumatore potrà consultare l'elenco degli organismi ADR, trovare il link al Sito di ciascuno di essi e avviare una procedura di risoluzione on-line della controversia in cui sia coinvolto.

12. Modifiche e aggiornamento

12.1 Le presenti Condizioni di vendita sono modificate di volta in volta anche in considerazione di eventuali mutamenti normativi. Le nuove Condizioni generali di vendita saranno efficaci dalla data di pubblicazione delle stesse sul Sito.

The offer and sale of products carried out on the website www.suomy.com are governed by these General Conditions of Sale.

The products purchased on the website www.suomy.com are sold directly by Suomy Motosport Srl with head office in Italy, at Via Sant'Andrea 20/A – 22040 – Lurago D'Erba (CO), registered in the Register of Companies of Como n. IT08207200968, Tax Code and VAT number IT08207200968 e-mail shoponline@suomy.com Phone. +39 031696300 (hereinafter "Seller" or "Suomy Motosport").

The Seller reserves the right to modify these General Conditions of Sale at any time; any new rules will be effective from the moment of their publication on the Site and will apply to sales that will be made starting from their publication.

Before proceeding with the transmission of the order and, therefore, with the conclusion of the purchase contract, the Customer is required to carefully read the General Conditions of Sale in force together with all the information that the Seller provides through the Site, both before and during the purchase procedure. The General Conditions of Sale are made available to the Customer through the "Terms and Conditions" section of the Site, accessible via the homonymous link in the footer of the Site. The Customer is permitted to store and reproduce them.

1. Definitions

1.1 Customer: the Consumer, as defined below.

1.2 Consumer: natural person, of legal age or in any case capable of acting in accordance with the law, who places an order on the Site for purposes unrelated to any entrepreneurial, commercial, artisanal or professional activity carried out subject to the legislation referred to in Legislative Decree no. 206/2005 and subsequent amendments and additions.

1.3 Seller: Suomy Motosport Srl with head office in Italy, at Via Sant'Andrea 20/A – 22040 – Lurago D'Erba (CO), registered in the Register of Companies of Como no. IT08207200968, Tax Code and VAT number IT08207200968, a commercial company with which the Customer concludes the purchase contract and which sells the products at its own cost and responsibility to the Customer.

1.4 Price: the contractual price indicated in the Order Confirmation, including VAT.

1.5 Product(s): the products present in the electronic catalogue published on the Website in the eCommerce section, as described in the relevant product sheets and indicated in the Order Confirmation. The helmets are supplied with the respective approved clear visor; any images of helmets with coloured visors are intended for illustrative purposes only.

2. Trade policy - Scope of application

2.1 The mission is to promote and sell the Seller's products, with particular reference to B2C (Business to Consumer) trade towards private consumers. Site is reserved for retail sales. Access to the Site and the purchase of Products via the Site itself occurs with or without registration and is permitted to all Customers, regardless of their nationality, place of residence or place of establishment, provided, if natural persons, that they have the legal capacity to enter into binding agreements in compliance with applicable law and with delivery in the countries foreseen by the Site.

The Seller therefore invites users who do not fall into the category of Consumers to refrain from either making purchases or placing orders through third parties. In consideration of its commercial policy, the Seller reserves the right not to process orders from parties other than the Customer or in any case orders that do not comply with its commercial policy. In any case, individuals who intend to purchase products for the purpose of subsequent resale will not be able to make purchases on the Site.

These Conditions of Sale exclusively regulate the offer, forwarding and acceptance of purchase orders of products between Customers and the Seller via the Site ("Terms and Conditions"). The delivery of the Products purchased through the Site can be carried out only and exclusively in countries belonging to the European Union.

2.2 In the event of an IT, manual, technical or error of any other nature which could lead to a substantial change, not foreseen by the Seller, in the retail sale price, which makes it exorbitant or clearly negligible, the purchase order will be considered invalid and cancelled and the Seller will refund the price that the Customer may have already paid without undue delay, upon communication to the Customer.

2.3 The Seller reserves the right to verify and evaluate the correctness and good faith of the Customer, particularly in the event of entering incorrect or truthful data or use of promotions or discount coupons. If the Customer's behaviour is found to be unlawful and incorrect, the Seller reserves the right to take all necessary actions to put an end to the irregularities.

3. How to conclude the contract with Suomy Motosport Srl

3.1 To conclude the Purchase Contract (“Contract”), the Customer may alternatively:
1. enter from time to time all the data necessary to complete the order form;
2. register on the Site by entering the requested data in the appropriate form available on the Site and choose the personal code (password) and the identification code (User-ID, coinciding with the e-mail address) and complete the order form, taking care to correctly enter the personal data as requested in the electronic registration form.

The Customer assumes responsibility for the truthfulness and correctness of the personal data entered and released to the Seller during the registration and the sending of the order form. It is understood that any damage/delay/inconvenience attributable to and/or attributable to the incorrectness and/or untruthfulness of the personal data entered at the time of registration and/or during order completion cannot under any circumstances be charged to the Seller. In any case, before proceeding with the transmission of the order form, the Customer will be able to identify and correct any data entry errors by returning to the relevant data entry forms.

The Customer must complete the order form on the Site in full, accept these General Conditions of Sale and forward the aforementioned form to the Seller, following the instructions that appear from time to time; the order form sent by the Customer has the value of a contractual proposal and the Seller reserves the right to accept (or not) this proposal.

Before proceeding with the transmission of the order form, the Customer undertakes to carefully verify the correctness of the data entered. Any additional charges resulting from incorrect data entered may be charged to the Customer.

Upon receipt of the Order and confirmation of the successful completion of the payment validity, the Seller will send a message confirming the reception of the order itself. The latter does not constitute acceptance of the order, but only confirmation by the Seller of having received the Order.

When the Products are actually shipped, which occurs between 2 and 4 working days following receipt of the Order, the Seller will send the Customer an email confirming that the order has been processed.

Both the Order Confirmation and the email of shipment confirmation contain all the essential data relating to the Order, including, by way of example, the list of products actually purchased accompanied by their main characteristics, including that relating to the price including VAT. It will also contain all information relating to shipping data and costs.

3.2 By transmitting the order form, the Customer unconditionally accepts and undertakes to observe, in relations with the Seller, the terms and conditions reported on the Site. If the Customer does not agree with some of the terms reported here, he is invited not to submit the order form for the purchase of the products on the Site.

3.3 By transmitting the order form, which takes place after clicking on the "Pay Now" button, the Customer confirms that he knows and accepts the terms and conditions contained in the Site and the Privacy Policy.

3.4 The order form will be archived in the Seller's database for the period of time necessary to process the orders and in any case within the terms of the law. The Customer will be able to access the order form by consulting the "Orders" section within the Site.

3.5 The language available to the Customer to conclude the contract with the Seller is Italian.

3.6 Prices of the products may be subject to updates. The Customer has the obligation to ascertain the final sales price before submitting the relevant order form.

3.7 Any requests for delivery to countries other than the European Union cannot be accepted by the Seller.

3.8 The Seller may not process purchase orders forwarded by the Customer if the data provided by the latter is incomplete or incorrect. In this case, the Seller will inform the Customer, via email or Customer Service, of the failure to conclude the contract, indicating the reasons why it was not possible to process the order. The Seller will refund any price already paid according to the methods described below (see "Refund times and methods" section).

3.9 In general, all items on the Site are immediately available. However, in the event of simultaneous purchases by multiple users, a product may be available, even though it is out of stock. In this case, without prejudice to the rights attributed to the Customer by the applicable legislation, it will be the responsibility of the Seller, through Customer Service, to communicate the aforementioned unavailability to the Customer, at the e-mail address indicated by the Customer.

Without prejudice to what is agreed below and therefore the possibility of exercising the right of withdrawal for the products ordered (see "Right of withdrawal" section), in the case of orders concerning multiple Products, the sending of the order form by the Customer is also valid as acceptance of any partial delivery, limited to the products available within those ordered. If the Customer has already paid for the complete order, the Seller will refund the amount corresponding to the unavailable products according to the methods described below (see "Refund times and methods" section), without prejudice to any further rights of the Customers. In case of partial delivery, always without prejudice to the right of withdrawal, delivery costs may not be refunded.

4. Sales prices, taxes and duties

4.1 Unless otherwise indicated in writing, all prices indicated are VAT included and expressed in Euros. Prices may vary without notice and the only correct price is the one indicated at the time of order confirmation by the Seller.

4.2 The prices indicated do not include shipping costs which are calculated before the order confirmation sent by the Seller to the Customer and which the Customer undertakes to pay to the Seller in addition to the price indicated on the Site.

5. Terms of payment

5.1 The Seller will only accept payments in Euro currency.

5.2 To pay the price of the products and the related shipping and delivery costs, the Customer can only use the credit card method via the Stripe circuit.

5.3 The Seller will never be in possession of any sensitive information (for example, the full credit/debit card number, or security code). When sending the order form, the Seller makes a request to the selected payment provider to use an amount equal to that indicated in the order form, with the effect, if the requested authorization is confirmed, of booking and blocking the sum corresponding to this amount, subtracting it from the user's availability.

6. Invoicing

6.1 The Seller will insert the invoice of the Products shipped into the package and send it to the Customer via the exchange system. For the issuing of the invoice, the information provided by the Customer at the time of the order is valid. After the invoice has been issued, it will not be possible to make any changes to the data indicated in the invoice.

7. Shipment and delivery of Products

7.1 The Seller ships its products via express couriers. The shipment takes place in 2-4 working days (i.e. from Monday to Friday) starting from the conclusion of the Contract. In any case, the Seller reserves the right to deliver the products ordered within a maximum of 30 working days from the Order Confirmation email in the months of August and Christmas holidays.

7.2 The Seller undertakes to do everything necessary to respect the delivery times indicated above, but cannot, within the limits established by applicable legislation and without prejudice to the inalienable rights of consumers, be held responsible for damages or inconveniences caused by any delays.

7.3 The Seller ships exclusively to the European Union. The purchase via the Site is therefore permitted to Customers, regardless of their nationality and/or their place of residence and/or establishment, without prejudice, however, to the fact that the delivery of the Products can take place only and exclusively in the countries indicated above.

7.4 The cost for each shipment, associated with an order, will vary based on the following parameters: the place of destination and the total weight of the Products purchased with the single order, and will in any case be made explicit both during the purchase and transmission of the order and in the Order Confirmation.

7.5 Upon delivery of the purchased Product by the courier, the Customer is required to check that the number of packages delivered corresponds to what is indicated in the waybill and that the packaging is intact, not damaged, wet or otherwise altered , even in the sealing materials (branded adhesive tape). In the event of anomalies or damage, the complaint must be made immediately to the courier, refusing delivery or inserting the words "ACCEPTED WITH RESERVE" in the document of goods reception presented by the courier and promptly reporting the incident to the Seller. In any case, the application of the relevant rules remains unchanged, as well as those of the right of withdrawal and legal guarantee of conformity.

7.6 Delivery via express shipping means at street level.

8. After-sales guarantee

8.1 Upon delivery, the Products must be checked by the Customer in order to ensure that they correspond to the items ordered and that they do not present any defects of conformity. The essential characteristics of the products are indicated on the Site in each Product detail page. However, the images and colours of the products offered for sale may not correspond to the real ones due to the Internet browser and monitor used. It is therefore understood that, without prejudice to the indications relating to the label and without prejudice to the right of withdrawal, the Customer will not be able to make any exceptions against the Seller, in the event that the Product delivered does not coincide with the image of the Product shown on the Site as to colour/shape/size.

8.2 The Seller pays the utmost attention to ensuring that what is described and presented on the Site is consistent with what is shown on the label on the product packaging. In any case, it is underlined that, where differences are found, the label and instructions for the use of the Product provided by the manufacturer will always prevail.

8.3 All products sold on the Site are covered by the legal guarantee of conformity provided by the articles. 128-135-vicies ter of the Consumer Code (“Legal Guarantee”). Without prejudice to different regulatory provisions to protect the inalienable rights of consumers, the Seller is responsible towards the Customer for any lack of conformity existing at the time of delivery of the product and for hidden defects that appear within two years from the date of purchase (proven by accompanying sales invoice). The application of any guarantee is excluded in the event of use or washing of the Product that does not comply with that of the Product and with the relevant instructions/warnings provided by the Seller, or reported in the illustrative reference documentation, in the tags, labels and manuals. Any non-conformity of the Products must be reported to the Seller no later than 2 (two) months from discovery (deadline provided by the Consumer Code), in any case within 2 years from the date of purchase (proven by the accompanying sales invoice), via request to be sent to shoponline@suomy.com specifying the reason "warranty for non-compliant product", the accompanying invoice number and the reason of the complaint. The Seller reserves the right to request images/photos/videos in order to carry out a preventive evaluation. The Seller reserves the right to ask the user to attach to the request to take advantage of the legal guarantee of conformity the Order Confirmation and the accompanying invoice proving the date of purchase and the delivery date. Except in cases where the remedies of price reduction and termination of the contract are applied, the Seller, having verified compliance with the above, will indicate to the Customer the procedures envisaged for the repair or replacement of the product under warranty. The Seller, where necessary, will arrange, at its own expense, to have the defective Product collected via an express courier, directly at an address indicated by the Customer. In this case, unless otherwise indicated by the Seller, the Customer must make the Product available for collection complete with packaging and all accessories and documentation received by the Customer at the time of purchase. Returning the product without the original packaging, accessories and documentation referred to above prevents the Seller from intervening on the Product itself and therefore makes both the repair and replacement of the Product impossible. After receiving the product, the Seller will evaluate the actual alteration and, in the event of a positive finding and without prejudice to any requests from the Customer on the remedy to be carried out as per applicable law, will repair or replace the goods at his own expense.

8.4 If, following verification by the Seller, the defect complained by the Customer does not turn out to be a lack of conformity, the Seller reserves the right to charge the Customer for the costs of verification and restoration as well as the related transport costs incurred. The Customer may choose to have the Products purchased back - at his own expense. If the Customer refuses the shipment, the Seller reserves the right to withhold the Products and the corresponding amount for the purchase of the Products.

8.5 Except as otherwise provided by applicable law and without prejudice to the inalienable rights of consumers, the Seller is not responsible or obliged to compensate indirect, immaterial or collateral damages, including (without limitation): loss of profit, loss of earnings, limitations to production, administrative or personal costs, loss of customers or legal action by third parties.

8.6 Any faults or malfunctions caused by accidental events or by the user's responsibility or by use of the product that does not comply with its intended use and/or as provided in the instructions and in cases where products are stored in unsuitable places or exposed to bad weather, dirt or contaminants are excluded from the scope of the Product Conformity Guarantee.

8.7 In the event that the Product is not affected by a lack of conformity, it will be possible for the Customer to request a quote for the repair/restoration of the Product for a fee.

8.8 The guarantee is personal and will therefore apply only to the original purchaser, being reserved exclusively to the Seller's Customers who qualify as Consumers.

9. Right of withdrawal and refund

9.1 Pursuant to article 52 et seq. of the Consumer Code, the Consumer Customer will have the right to withdraw from the purchase contract for any reason, without the need to provide explanations and without any penalty, within the terms and in the manner indicated in the following articles.

9.2 To exercise the right of withdrawal, within 14 days from the date of receipt of the Products (to the requested address), the Customer must send a communication to the email address shoponline@suomy.com, identifying the order for which one needs to make a total or partial return, specifying, in the case of a partial return, the item for which the withdrawal is being exercised and waiting for a confirmation email indicating the return address. The return of the Products subject to withdrawal must be carried out, at the Customer's expense, by carrier of his/her choice, directly without undue delay and in any case within 14 (fourteen) days from the date on which he/she communicated to the Seller the decision to withdraw from the sale contract. The Seller will not accept cash on delivery returns under any circumstances.

9.3 Once the aforementioned notice of withdrawal has been received, the Seller, having verified compliance with the terms to exercise the right of withdrawal, which is within 14 days from the date of receipt of the Products by the Customer, and once the integrity of the returned Product has been verified, will refund the payment received from the Customer for the Products subject to withdrawal within 14 (fourteen) days of receipt. The refund will be made using the same payment method used by the Customer for the initial transaction. Regardless of the correspondence between the recipient of the Products indicated in the order form and the person who made the payment of the sums due for their purchase, the reimbursement of the sums will always be carried out by the Seller in favour of the person who made the payment (identified as the holder of the credit card used for the purchase). In the event that the withdrawal concerns one or more products purchased with a Promotional Code, the refunded amount will be equal to that actually paid to the Seller, and not to the value of the product reported in the description of the same at the time of purchase.

9.4 All Products for which the Customer has exercised the right of withdrawal must be intact and in their original packaging, complete in all its parts including packaging material as well as any additional documentation.

9.5 The Right of Withdrawal is considered exercised correctly if the conditions required by the Consumer Code are respected and that the notice of withdrawal is complete in its essential parts.

9.6 The Customer will not have the right to exercise his right of withdrawal in cases where one of the following circumstances is ascertained: the lack of the original package and/or packaging; the absence of the integral elements of the Product (accessories, tags, labels, information notes, etc.); substantial damage to the Product for causes other than its transportation. Furthermore, withdrawal is excluded for goods customized according to the Customer's request and in the other cases listed in the art. 59 of the Consumer Code.

9.7 The crediting times then depend on the chosen payment system, with the consequence that once the request has been made, the Seller cannot be held responsible for any delays or omissions in crediting, caused by the delay in the procedures of the banking system or channel of payment used.

10. Privacy

10.1 Information on privacy is contained in the Information on the processing of personal data which is an integral part of these Conditions of Sale. Before proceeding with the transmission of the order and, therefore, with the conclusion of the purchase contract, the Customer is required to carefully read the information on the processing of personal data. This information is made available to the Customer through the "Privacy Policy" section of the Site, which can be reached via the link of the same name in the footer of the Site, as well as via the appropriate link during the purchase process. The Customer is permitted to store and reproduce them.

11. Applicable law and dispute resolution

11.1 Without prejudice to European legislation on the law applicable to contractual obligations in the case of contracts concluded by a natural person for a use that may be considered outside his commercial or professional activity with another person acting in the exercise of his activity commercial or professional, these Conditions of Sale are governed by Italian law and in particular by the Consumer Code, with specific reference to the legislation on distance contracts and by Legislative Decree 9 April 2003 n. 70 and the Consumer Code Legislative Decree 6 September 2005 n. 206.

11.2 Any dispute that refers to the interpretation, execution, non-fulfilment or termination of the Contract, or that in any way is related to the General Conditions of Sale, will be subjected to the exclusive jurisdiction of the court of the place where the Customer resides or has elected domicile.

11.3 The Seller informs the Customer that a European platform for the online resolution of consumer disputes (so-called ODR platform) has been established. The ODR platform can be consulted at the following address http://ec.europa.eu/consumers/odr/ ; through the ODR platform the consumer user will be able to consult the list of ADR bodies, find the link to the website of each of them and start an online resolution procedure for the dispute in which he is involved.

12. CHANGES AND UPDATE

12.1 These Conditions of Sale are modified from time to time also in consideration of any regulatory changes. The new General Conditions of Sale will be effective from the date of their publication on the Site.
